This is an exciting opportunity to work at the centre of our Corporate Legal function, partnering with teams, boards and service providers across multiple jurisdictions to help deliver best-practice governance in a dynamic, internationally connected.
About the Role
This is a high-impact opportunity for an emerging governance professional who wants to build their career in a global infrastructure business. As Assistant Company Secretary, you will support strong governance and the effective operation of Morrison’s funds and investment entities, while working closely with boards, committees, internal stakeholders and external service providers across multiple markets. Partnering with the Company Secretary – Director, you’ll help deliver high-quality company secretarial services in a role with meaningful international exposure and a clear global focus.
- Manage outsourced company secretarial providers to ensure high-quality services are delivered across Morrison’s funds and investment entities.
- Coordinate board and committee calendars, meeting schedules, agendas and paper preparation for quarterly and ad hoc meetings across multiple entities and jurisdictions.
- Work closely with internal teams and service providers to ensure governance requirements, timelines and board deliverables are met to a consistently high standard.
- Attend board and committee meetings in a governance oversight capacity, and review minutes, actions and resolutions for accuracy and completeness.
- Maintain complete and accurate board, fund and corporate records across Morrison and external providers, including document management through governance platforms.
- Support the governance and operation of Morrison funds, investment entities and advisory committees, including in-house and outsourced structures.
- Assist on corporate, compliance and transactional matters such as investment and divestment closes, restructures, debt facilities, investor commitments, KYC requirements, marketing registrations and policy reviews.
- Provide support to the Company Secretary for UTA, including board and committee administration, paper production, minute taking, circular resolutions and records management.
- Assist with Morrison corporate records, filings, registers, governance templates, policies and continuous improvement of secretariat processes.
- Build and maintain effective relationships with internal stakeholders, trustees, external counsel, auditors, fund administrators and overseas company secretarial providers, reflecting the global nature of the role.
About You
You’ll bring relevant experience, sound governance judgement and a relationship-focused approach, along with the confidence to work across a fast-paced business with both local and global reach.
Ideally, you’ll bring a mix of technical capability, governance experience and the personal qualities to thrive in a collaborative, globally connected environment:
- Legal or finance qualifications.
- 2–3 years’ experience in legal, corporate governance, company secretarial or finance roles.
- Experience in funds management, financial services or a regulated environment is desirable.
- Familiarity with entity record keeping, ideally across Australia and New Zealand.
- Experience working with outsourced or overseas company secretarial providers is desirable.
- Client-focused, personable and confident building relationships with a wide range of stakeholders.
- A collaborative team player who is also comfortable working independently and taking initiative.
- Highly organised, methodical and able to manage competing priorities.
- A critical thinker with strong attention to detail and excellent communication skills.
